Please read these terms and conditions carefully before using our Service.

When you engage in business with Sorola Energy the following terms and conditions come into effect.

1.0 Terms & Conditions

The following document sets out the terms and conditions of service for Sorola Energy Limited. We have set out below the principal terms which come into effect once a customer uses any of the services provided by Sorola Energy relating to the provision of utilities by third parties.

These terms and conditions govern the use of the services Sorola Energy provides to customers. It is important that you read these terms and conditions carefully before accepting these terms and conditions. By using the Sorola Energy service/s you signify that you have read, understood, and agree to be bound by these terms and conditions. If you do not agree to these terms – DO NOT use our service.

2.0 Price Comparison / Switching Service

Sorola Energy provides a price comparison / switching service to UK businesses. To be eligible to use this service you must be;

  • A business that is resident in the UK.

  • Eighteen years or older (if a sole trader).

  • Meet the credit scoring requirements of any supplier (if applicable).

We reserve the right to refuse to provide our services to any customer at our discretion.

If the customer agrees to use our services, Sorola Energy will use reasonable skill and care to identify, negotiate and secure competitive energy prices. Energy prices are obtained from a panel of energy suppliers using price books provided by suppliers.

The customer agrees to provide Sorola Energy with accurate information to allow accurate quotations to be obtained – including estimated or actual usage of energy, contract end dates and other known acts that may influence prices and quotations.

The provision of a quotation by a supplier via Sorola Energy does not constitute an offer to the customer and offers will each have their own supplier’s terms and obligations attached.

If the customer accepts a quotation and a contract is executed between the customer and the supplier, the contract is binding, and the customer will not be permitted to revoke such an acceptance.

The supplier shall be entitled at any time to refuse to accept a customer’s offer of acceptance at their discretion.

If the customer and supplier wish to enter a contract, Sorola Energy will provide a switching service (or renewal service) which will include organising the contract between the customer and the energy supplier for the purchase and supply of the energy services.

Sorola Energy will not be responsible for any delays or failures caused by either the customer, Sorola Energy, the proposed supplier, or any existing supplier in relation to affecting either a transfer of supply or renewal of supply.

Sorola Energy makes no guarantees as to either the quality of the service suppliers operates, or the prices obtained at quotation.

Energy prices fluctuate on a regular basis and whilst we attempt to help secure competitive rates to enable switching or renewal, we cannot guarantee any quote is the cheapest.

The customer is reminded that ultimately it is their responsibility to validate the accuracy of any quotations presented. Also, it is the customer’s responsibility to ensure that the contract(s) have been submitted to the supplier and will go live. This is usually represented by receiving/accepting communication from either the new or old supplier to confirm that the switch/ renewal is occurring.

The customer acknowledges that they are entering into a contract with a supplier for the provision of energy supply and not with Sorola Energy.

The customer agrees that Sorola Energy is not liable in any way for any dealings, contracts or transactions between the customer and the supplier and that any such transactions, contracts, dealings, or payment obligations are the customer’s responsibility and risk.

The customer agrees by using the service that Sorola Energy is an independent energy brokerage and that Sorola Energy is not instructed by the customer to act as their agent or representative.

The customer agrees that Sorola Energy is not responsible for the provision of any supplier services.

Sorola Energy and the supplier, reserve the right to amend or withdraw Quotations at any time upon informing the Customer. 

3.0 Customer’s Obligations

3.1 The Customer shall:

(I) ensure that the terms of the specification and any information it provides in it are complete and accurate in all material respects.

(II) provide Sorola Energy with a letter of authority permitting Sorola Energy to act on the Customer’s behalf in carrying out the Services and liaising with the Suppliers.

(III) cooperate with Sorola Energy in all matters relating to the Services.

(IV) provide Sorola Energy with such information and materials as Sorola Energy may reasonably require in order to supply the Services; and

(V) ensure that it complies with the Supplier’s Terms and Conditions applicable to the provisions of utilities, and in particular pays all the Supplier’s invoices in full without deduction, counterclaim or set-off.

3.2 The Customer acknowledges that:

(I) Sorola Energy shall not be a party to the contract between the Customer and the Supplier and therefore has no responsibility to either the Customer or Supplier in relation to the provision of utilities.

(II) any contract entered between the Customer and the Supplier shall be subject to the Supplier’s Terms and Conditions; and

(III) it is not the responsibility of Sorola Energy to provide the Customer with such Terms and Conditions although the Customer may request Sorola Energy to obtain a copy of such Terms and Conditions on behalf of the Customer. It shall be the Customer’s responsibility to ensure it has received and reviewed the Supplier’s up-to-date Terms and Conditions applicable to the provision of the utilities.

3.3  If Sorola Energy’s performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (the “Customer Default”):

(I) Sorola Energy shall without limiting its other rights or remedies have the right to suspend the performance of the Services until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations to the extent the Customer Default prevents or delays Sorola Energy performance of any of its obligations.

(II) Sorola Energy shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Sorola Energy’s failure or delay to perform any of its obligations as set out in this clause.

4.0 Charges

Sorola Energy is remunerated directly by the suppliers and receives a commission for securing and finalising the contract between the customer and the energy supplier. This is usually by way of an uplift that is applied within your unit cost for energy. The cost of Sorola Energy’s service is therefore included within the unit cost of the energy contract that you agree with the supplier. There are no extra payments that you have to pay directly to Sorola Energy.

We are happy to disclose to you the commissions and uplifts that have been applied to the tariffs that we provide you. This will be included on the quotation letter that we send you, on any contracts that we arrange for you, and can be requested at any point by contacting us at enquiries@sorolaenergy.co.uk.

5.0 Limitations on Liability

Sorola Energy will exercise all reasonable skill and care in providing the Services. However, the performance of the Services by Sorola Energy may be dependent upon third parties (including, without limitation, Suppliers and Existing Suppliers) and Sorola Energy is not able to guarantee or accept any responsibility for any failure or delay caused by such third parties or for any inaccurate, incomplete, or unreliable information provided to the Customer by such parties via Sorola Energy. 

Sorola Energy shall use reasonable skill and care to ensure that all pricing information provided by Sorola Energy to the Customer as part of the Pricing Comparison Service is accurate, current, and reliable in all material respects. 

Sorola Energy may provide guidance throughout the process but ultimately is not responsible as to the correct or most appropriate or opportune timing to negotiate or renew your current energy deal including the content of any contract between the customer and energy provider.

The Customer acknowledges and agrees that Sorola Energy shall not be liable for: 

(a) any direct or indirect loss, claim or damage, or any punitive, special, incidental or consequential damages of any kind;

(b) any loss of profit or savings. 

(c) loss or corruption of data or information.

(d) loss of contracts, business, or opportunity.

6.0 Definitions

The following definitions apply to these Terms and Conditions of Service (the “Terms”):

Sorola Energy: means Sorola Energy Limited, which is a company registered in England and Wales under company number 12805727 and which has its registered and trading office at 8 Castlegate, Tickhill, Doncaster DN11 9QU.

Credit Score Criteria: means the credit rating requirements as may be determined and required by Sorola Energy and/or the Supplier from time to time for a customer to qualify to use the Services and contract with a Supplier. 

Existing Supplier: means the Customer’s existing third-party energy/utilities supplier. 

Letter of Authority: this means a letter that the Customer will sign authorising Sorola Energy to act on its behalf and to contact and liaise with the Customer’s Existing Supplier, as may be required in the course of Sorola Energy providing the Services. 

Price Comparison Service: this means the price comparison service that Sorola Energy agrees to provide to the Customer whereby the Customer is provided with impartial information on Suppliers’ prices in relation to the services and products offered by the Suppliers.

Quotation: means a quotation provided to the Customer by Sorola Energy on behalf of a Supplier which sets out the terms and prices upon which a Supplier may be prepared to supply the Supplier Services to the Customer. 

Supplier: means any third party energy/utility supplier of services and/or products as may be selected by Sorola Energy. 

Supplier Services: means the energy/utility supply services and/or products as may be agreed to be provided by a Supplier to a Customer from time to time. 

Supply Contracts: this means contracts with energy suppliers for the supply of electricity and/or gas. 

Supply Number: means electricity or gas meter points with administration or reference numbers. 

Switching Service: means the switching service that Sorola Energy agrees to provide to the Customer whereby Sorola Energy agrees to either: (i) facilitate the switching of the Customer to the Supplier, or (ii) assist in the renegotiation of the Customer’s arrangements with its Existing Supplier; in each case if the Customer has accepted a Supplier’s Quotation presented to it as part of the Price Comparison Service.
